  • Title Verification: Auditing registered ownership, mortgages, liens, and annotations via the National Registry (Registro Nacional).

8. Prohibited Conduct

12. Disclaimer of Warranties

13. Limitation of Liability

To the maximum extent permitted by applicable law, Costa Rica Land Trust, along with its directors, officers, employees, and agents, shall not be held liable for indirect, incidental, punitive, or consequential damages (including lost profits, lost data, or business interruption) resulting from your reliance on Site content or inability to access the platform.

In jurisdictions where liability cannot be entirely excluded, our total cumulative liability shall not exceed the total amount paid by you to us (if any) during the twelve (12) months preceding the claim.

14. Indemnification Clause

You agree to defend, indemnify, and hold harmless Costa Rica Land Trust, its affiliates, officers, and operational personnel from any legal claims, liabilities, financial losses, or expenses (including reasonable attorney fees) arising from your breach of this Agreement, misuse of the Site, or violation of third-party legal rights.

16. Platform Modifications & Updates

17. Term & Termination

We reserve the right to revoke or restrict your access to the Site without prior notice if we determine that a violation of these terms has occurred. Provisions concerning intellectual property, liability disclaimers, indemnification, and dispute resolution shall survive any termination.

18. Governing Law & Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the Republic of Costa Rica, without regard to conflict-of-law principles.

  • Court Jurisdiction: Any judicial disputes arising under these Terms shall be submitted exclusively to the competent courts of San José, Costa Rica.
  • Arbitration Option: Upon mutual written consent, parties may resolve disputes through binding arbitration administered by the Center for Conciliation and Arbitration of the Costa Rican-American Chamber of Commerce (CICA) in San José, Costa Rica. Proceedings shall be conducted in Spanish under CICA operational rules.

19. General Legal Terms

  • Severability: If any provision of this Agreement is deemed unenforceable by a court of law, the remaining provisions shall remain in full force and effect.
  • Non-Waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce that provision in the future.
  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between the user and Costa Rica Land Trust regarding Site usage.
  • Assignment: Rights under these Terms may not be assigned by the user without our consent, but may be assigned by the Company to corporate successors or affiliates.
  • Language Clause: This document is drafted in English. In the event of discrepancies between translated versions, the English text shall prevail.
